Dealer Rules & Requirements

Channel standards, resale policies, and operating requirements for authorized LOKSCO® dealers and reseller partners.

These requirements reflect common access control channel expectations. Authorization is conditional on ongoing compliance with pricing, territory, brand, support, and resale policies. LOKSCO® LLC may update these requirements at any time.

Authorization Standards

  • Dealer must be a legally registered business in good standing and maintain all required state or local licenses.
  • Dealer must provide accurate business, tax, banking, and ownership information during onboarding and upon request.
  • Dealer must identify whether it operates as an integrator, locksmith, security reseller, low-voltage contractor, distributor, or e-commerce partner.
  • Dealer must maintain qualified personnel able to specify, install, support, and service electronic access control products.
  • LOKSCO may deny or revoke authorization where prior fraud, chargebacks, channel abuse, or brand misuse is identified.

Sales Conduct

  • No deceptive advertising, bait pricing, or false claims about product capability, certifications, or compatibility.
  • No representation that dealer is the manufacturer or that custom policies override LOKSCO written terms.
  • No substitution of used, open-box, or gray-market product as new LOKSCO inventory.

Support Duty

  • Dealer is first-line support for its customers unless otherwise approved in writing.
  • Dealer must perform basic troubleshooting before escalating to LOKSCO technical support.
  • Dealer must keep project records, firmware notes, and installed model data for supported accounts.

Brand Use

  • Use current logos, approved product names, and current branding only.
  • No altered logos, misleading co-branding, or websites implying exclusive territory without approval.
  • Marketing material may be audited and must be corrected promptly if requested.

Marketplace and Online Sales Restrictions

  1. Dealer may not sell LOKSCO products on Amazon, eBay, Walmart Marketplace, AliExpress, Temu, or similar third-party public marketplaces unless expressly authorized in writing.
  2. Dealer may not permit any intermediary, affiliate, dropshipper, or related entity to list LOKSCO products on prohibited marketplaces.
  3. Dealer may not use marketplace fulfillment models that obscure the selling party, chain of custody, warranty status, or product origin.
  4. Dealer may sell on its own branded website only if pricing, branding, product data, and fulfillment standards comply with LOKSCO policy.
Unauthorized marketplace sales may result in immediate suspension, cancellation of open orders, refusal of warranty support, and termination of dealer status.

Pricing, Quotes, and Payment

  • All pricing is confidential unless published by LOKSCO in writing.
  • Quoted pricing may be time-limited and project-specific.
  • LOKSCO may establish minimum advertised pricing, project registration protections, and bid desk rules.
  • Dealer may not publicly advertise below authorized pricing thresholds where applicable.
  • Late payment, repeated credit issues, or chargebacks may suspend purchasing privileges.

Territory and Project Registration

  • Authorization does not automatically grant exclusivity by city, state, or vertical.
  • Territory, vertical, or named-account protection applies only where confirmed in writing.
  • Project registration may be required to secure protected pricing or account support.
  • LOKSCO may reject, reassign, or dual-source opportunities where activity is not maintained.

Inventory, Returns, and Restocking

  • Custom-configured, programmed, project-labeled, or special-order products are generally non-cancelable and non-returnable.
  • Standard stock returns require prior written RMA approval and must be new, complete, and in resalable condition.
  • Approved discretionary returns are typically subject to inspection plus a restocking fee, commonly 20% to 35% depending on condition and order type.
  • Dealer is responsible for freight, packaging, and transit risk on returns unless otherwise approved.

Warranty and RMAs

  • Warranty support applies to authorized channel purchases only.
  • Dealer must verify installation conditions, power, compatibility, and configuration before filing RMA claims.
  • LOKSCO may repair, replace, credit, or reject claims based on inspection and published warranty terms.
  • Field labor, site access, expedited freight, and third-party costs are not included unless expressly approved.

Operational Requirements

  • Dealer must maintain adequate product knowledge and complete any required sales or technical training.
  • Dealer must protect confidential documents including pricing sheets, firmware tools, dealer portals, and support documentation.
  • Dealer must comply with export controls, sanctions, anti-bribery laws, privacy obligations, and all applicable commercial regulations.
  • Dealer must not reverse engineer, relabel, or remove serial tracking from LOKSCO products.
  • LOKSCO may request forecasts, installed base information, and sales activity summaries to support channel planning.

Grounds for Suspension or Termination

  • Unauthorized online sales or diversion into unauthorized channels.
  • Repeated pricing violations, misuse of protected quotes, or abuse of project registration.
  • Fraud, misrepresentation, non-payment, abusive conduct, counterfeit activity, or chronic support failures.
  • Brand misuse, false certifications, unapproved warranty promises, or failure to comply with corrective actions.
Dealer status is a revocable commercial authorization, not a guarantee of supply, exclusivity, or indefinite account continuation.
